Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") govern access to and use of the Silo Panna website and the media planning, buying, and related advertising services (collectively, the "Services") provided by Silo Panna ("Silo Panna," "we," "us," or "our"), located at 1399 Rosebay Court, Annapolis, MD 21409, United States. By accessing this website or engaging Silo Panna for Services, you agree to these Terms. If you do not agree, please do not use the website or Services.
2. Description of Services
Silo Panna provides programmatic media planning and buying, audience strategy, creative trafficking, measurement, and related advertising services. Specific scope, deliverables, fees, and timelines for any engagement are set out in a separate written agreement or statement of work between Silo Panna and the client ("Engagement Agreement"). Where these Terms and an Engagement Agreement conflict, the Engagement Agreement controls for that engagement.
3. Client Responsibilities
- Providing accurate information about brand, product, audience, budget, and compliance requirements relevant to a campaign.
- Securing necessary rights, licenses, and approvals for any creative assets, trademarks, or content supplied to Silo Panna.
- Reviewing and approving media plans, creative, and targeting parameters prior to launch where a review step is part of the engagement.
- Timely payment of invoices in accordance with the applicable Engagement Agreement.
4. Fees and Payment
Fees, media spend handling, and payment terms are defined in the applicable Engagement Agreement or invoice. Unless otherwise agreed in writing, invoices are due within the period stated on the invoice. Late payments may result in suspension of active campaigns until accounts are brought current.
5. Intellectual Property
Client retains ownership of its trademarks, brand assets, and creative materials supplied to Silo Panna. Silo Panna retains ownership of its proprietary methodologies, templates, reporting frameworks, and any tools or processes developed independently of a specific client engagement. Campaign-specific creative or strategy developed under an Engagement Agreement is owned as specified in that agreement.
6. Confidentiality
Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Services, and to use such information only for purposes of the engagement, except as required by law.
7. Third-Party Platforms
Services may involve the use of third-party demand-side platforms, exchanges, data providers, and measurement vendors. Silo Panna is not responsible for the availability, accuracy, or policies of third-party platforms, but will work in good faith to resolve platform-related issues affecting a campaign.
8. Disclaimers
The website and general information on it are provided "as is" without warranties of any kind. Media performance is influenced by factors outside Silo Panna's control, including platform availability, market conditions, and third-party data accuracy. No specific campaign outcome is guaranteed unless expressly stated in an Engagement Agreement.
9. Limitation of Liability
To the maximum extent permitted by law, Silo Panna's total liability arising out of or related to the Services shall not exceed the fees paid by the client for the engagement giving rise to the claim in the twelve months preceding the claim. Silo Panna is not liable for indirect, incidental, or consequential damages.
10. Indemnification
Client agrees to indemnify and hold Silo Panna harmless from claims arising out of creative assets, trademarks, or instructions supplied by the client that infringe third-party rights or violate applicable law.
11. Termination
Either party may terminate an engagement in accordance with the notice terms specified in the applicable Engagement Agreement. Upon termination, client remains responsible for fees and committed media spend incurred prior to the termination date.
12. Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles, unless otherwise specified in an Engagement Agreement.
13. Changes to These Terms
Silo Panna may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of the website after changes take effect constitutes acceptance of the revised Terms.
